Acknowledgements
is publication began as a commentary on the Companies Act 2004, which
came into eect in January 2005. At the time, the Act was a radical departure from the
company law regime we had known for over 40 years, and my intention was to create a
guide for the judiciary, legal profession, business community and academia to navigate
the changes, especially since I was acquainted with the Canadian model, through
my participation on the CARICOM Committee on the Reform of Company Law in
the Commonwealth Caraibbean, and then the Joint Select Committee of Parliament
in Jamaica. As fate would have it, a number of further amendments were made due
to the development of the jurisprudence locally, regionally and internationally, and
the demands of external agencies for greater transparency and accountability. As a
result, publication was delayed twice, in order to facilitate the re-writing of some of the
chapters. Amendments have been made as late as April 1, 2019.
It is against this backdrop that I wish to thank the publishers for their enduring
patience, as the weeks have rolled into months and then into years.
I am grateful for the work of my research assistants over the years, many of whom
started out as students and are now highly accomplished legal professionals: Kathryn
Denbow, Alicia Dixon Stone and Lanasia Nicholls. I also wish to acknowledge Nadelle
Clarke, for the invaluable clerical help I received on an early draft and more recently,
my niece Abigail Ffolkes.
I would also wish to thank my Writing Action Group (WAG), Tracy Robinson
and Jeneille Matthews, without whom I would have abandoned the project a long
time ago.
I cannot express enough, how grateful I am for my husband, Peter, who has
literally stood with me for better and for worse, in sickness and in health; his input
was invaluable. To my sons James (Alex), Peter-John and David, you all complete me.
It is to you all I dedicate this work.
Foremost I wish to thank God for every good thing, who is indeed a great and
merciful Father. I give Him all the praise.
Finally, I hope this guide will be a useful tool, as I have made every eort to be
accurate and up to date. I am committed to a new edition, as the law develops, but in
the meantime, as former Chairman and CEO of Grace Kennedy, Douglas Orane once
advised me, ‘don’t make it perfect…. make it Tuesday’. So here we are.
